Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Sheridan County, Wyoming, and the parties hereby consent to personal jurisdiction and venue therein.
Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Binding Arbitration:
You and Litequo LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved by binding individual arbitration rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.
Arbitration Rules:
- Arbitration will be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules
- The arbitration will be held in Sheridan, Wyoming, or at another mutually agreed location
- The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction
- Each party will bear its own costs and attorney's fees, unless the arbitrator determines otherwise
Opt-Out Right:
You may opt out of this arbitration agreement by sending written notice to legal@agridigi.com within 30 days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration.
⚠️ Class Action Waiver
YOU AND LITEQUO LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Unless both you and Litequo LLC agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or collective proceeding.
Exceptions:
- Either party may bring an individual action in small claims court
- Either party may seek injunctive relief in court for intellectual property infringement
- This arbitration agreement does not preclude you from bringing issues to the attention of government agencies
Severability:
If any part of this arbitration agreement is found unenforceable, the remainder will continue to apply. If the class action waiver is found unenforceable, then the entire arbitration agreement will be null and void, and disputes will be resolved in court.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted with an updated date. Continued use after changes constitutes acceptance.
